Private Group Agreement

This Private Group Agreement applies governs the rights and obligations of Users (“you” or “your”) and Avenevv Pte Ltd (doing business as Avenaire) including its related entities, affiliates and subsidiaries as well as their respective representatives and/or agents (collectively referred to herein as "Avenaire", "us", "we" or "our").

To the maximum extent permitted by law, Avenaire reserves the right to change this Private Group Agreement from time to time in our sole discretion. We encourage you to frequently check this page for any changes, which will be indicated by a change in the “Last Updated” date. Your continued use of the Avenaire Platform after any change in this Agreement will constitute your acceptance of such change.

1. Private Groups

1.1. The Avenaire Platform allows Users to create Private Groups for the purpose of enabling talent and job sharing across different organisations. Users who create Private Groups (“Group Creator”) may appoint themselves and/or other Users to manage the group (“Group Admins”). The Group Admins of these Private Groups may impose conditions for Users to join the Private Group and/or to continue remaining a member of the Private Group.

1.2. You acknowledge that such Private Groups are managed at the sole discretion of the Group Admins and that any dispute as to such conditions (including but not limited to the acceptance or rejection of a membership application; the suspension, expulsion or any penalties imposed by the Private Group; the amount of fees or dues charged by the Private Group) will have to be raised with the relevant Group Admins and not Avenaire.

1.3. Avenaire makes no representation or warranties as to the merchantability, suitability or fitness for purpose of Private Groups for any User. You acknowledge that the use of Private Groups is provided on the Avenaire Platform on an “as is, where is” basis and that Avenaire shall not be liable for any damages or losses sustained by Users from participating in or administering such Private Groups.

1.4. In the event that Avenaire is required by law to restrict certain features of the Private Group or discontinue offering the Private Group functionality altogether, Avenaire will not be responsible for any losses to Users which may ensue. Avenaire will, as far as possible, attempt to inform Users quickly if circumstances described under this clause should arise.

2. Joining a Private Group

2.1. Users may apply to join a Private Group by clicking on the “Join” button of the Private Group and filling up an application form. The questions, terms & conditions (“Private Group Terms”) stipulated on the application form may vary depending on the user type (Freelancer or Event Planner) and other requirements set by the Group Admins. Additionally, some Group Admins may elect to charge a Membership Application Fee (as defined in clause 3.1 below). Users may view the membership requirements and Private Group Terms in the “Overview” page of the Private Group’s profile.

2.2. Group Admins have a maximum of one (1) month to respond to each membership application. Where a Membership Application Fee is charged, the one (1) month period will only commence upon full payment of the Membership Application Fee. Should the Group Admin fail to take any positive action to accept or reject the application within the one (1) month, the application will expire and deemed to be rejected by the Group Admin.

3. Fees associated with Private Groups

3.1. There are three types of fees associated with Private Groups, namely (a) the fee imposed by Avenaire on Group Creators (“Group Registration Fee”); (b) the non-refundable fee imposed by Group Admins on applicants seeking to join their Private Group (“Membership Application Fee”); and (c) the fee payable by the Group Admins to Avenaire, calculated as a percentage of the Membership Application Fee (“Commission Fee”).

3.2. The Group Creation Fee and Commission Fee will be made known to the Group Creator on the Avenaire Platform at the point of creating the Private Group. Avenaire reserves the right to vary the Group Creation Fee and Commission Fee at any time. Any revised Group Creation Fee and Commission Fee will take effect immediately and be reflected on the Avenaire Platform at the point of creating the Private Group. For revised Commission Fees, Avenaire will also send a notice to Group Admins of existing Private Groups affected by the change.

3.3. If the Group Creator does not wish to pay the revised Group Creation Fee, it may elect not to create a Private Group. If the Group Admins do not wish to pay the revised Commission Fees, they may elect to unpublish the Private Group immediately and inform all members of the Private Group. If the Group Creator or Group Admins elect otherwise, they are deemed to have accepted the revised fees.

3.4. The Group Creator shall pay to Avenaire the Group Registration Fee upon creation of a Private Group. Avenaire will only register the Private Group upon receipt of the Group Registration Fee and the appropriate content in the registration form.

3.5. The Group Admins authorises Avenaire to collect the Membership Application Fee on their behalf and deduct the applicable Commission Fee before crediting the balance to the Group Admin’s designated bank account on file with Avenaire.

3.6. Avenaire may use a third-party payment gateway to collect the Group Creation Fee and Membership Application Fee in clauses 3.4 and 3.5 above. Where a third-party payment gateway is used, the Group Admins further authorises Avenaire to give instructions to the payment gateway to deduct the applicable Commission Fee before the balance is credited to the Group Admins.

3.7. Users may not withhold payment of any invoice or other amount due to Avenaire by reason of any right of set-off or counterclaim which the User may have or allege to have for any reason whatsoever.
